These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your”) and DDA Holdings, doing business as Xirena (“Xirena,” “we,” “us,” or “our”), governing your access to and use of www.xirena.com (the “Site”), any purchases of products, participation in promotions, submission of content, enrollment in marketing communications, or any interaction with our services.

By accessing or using the site in any manner, including but not limited to browsing, creating an account, or placing an order, you expressly acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must immediately discontinue use of the site.

1. Eligibility and User Representations
You represent and warrant that you are at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is greater, and that you have full legal capacity to enter into these Terms. You further represent that all information you provide to Xirena is truthful, accurate, current, and complete. You agree to maintain and promptly update your information as necessary.

You agree that your use of the Site is solely at your own risk and that you are fully responsible for any activity conducted under your account, whether authorized by you or not.

2. Modifications to Terms
We reserve the right, in our sole and absolute discretion, to modify, amend, supplement, or replace these Terms at any time and for any reason. Changes are effective immediately upon posting. Your continued use of the Site following any changes constitutes acceptance of the revised Terms.

3. Privacy, Data, and Communications

We do not warrant that any product information is accurate, complete, reliable, current, or error-free. Colors and fit may vary based on display and individual perception.

We reserve the right to modify or discontinue any product at any time without notice.

6. Orders, Acceptance, and Right to Cancel
All orders placed through the Site constitute offers to purchase and are subject to acceptance by Xirena. Acceptance occurs only when the order has been processed and shipped, or otherwise expressly confirmed by us.

We reserve the unrestricted right, in our sole discretion, to refuse, cancel, limit, or modify any order for any reason, including but not limited to pricing errors, inventory limitations, suspected fraud, abuse of promotions, or violations of these Terms. If payment has been processed, a refund will be issued to the original payment method.

7. Pricing, Promotions, and Errors
All prices, promotions, and offers are subject to change without notice. We reserve the right to correct errors, inaccuracies, or omissions and to cancel affected orders, even after confirmation or payment.

Promotional codes have no cash value, are non-transferable, may be limited in quantity or duration, and may be revoked at any time.

8. Payment Authorization
By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize us and our payment processors to charge all amounts associated with your order, including taxes, shipping, duties, and fees.

We reserve the right to use fraud detection tools and to take any action necessary to protect Xirena and its customers.

9. Shipping, Delivery, and Risk of Loss
Delivery dates are estimates only and not guaranteed. Risk of loss and title pass to you upon delivery of products to the carrier, except where prohibited by law.

We are not responsible for delays, losses, or damages caused by carriers, customs authorities, weather, or incorrect information provided by you.

10. Returns, Exchanges, and Refunds
Returns, exchanges, and refunds are subject to our Return Policy, which is incorporated by reference. We reserve the right to refuse returns, deny refunds, impose fees, restrict accounts, or refuse service for excessive, fraudulent, or abusive return activity.

11. International Orders and Global-E
For international purchases, Global-e acts as the merchant of record. Additional terms, duties, taxes, and fees may apply and will be disclosed at checkout. Global-e terms control in the event of any conflict.

12. Gift Cards and Store Credit
Gift cards and store credit have no cash value, are non-refundable except as required by law, and may not be resold. Xirena is not responsible for lost, stolen, or unauthorized use.

13. Prohibited Conduct
You agree not to engage in any unlawful, fraudulent, abusive, automated, or disruptive activity, including scraping, hacking, impersonation, resale abuse, or interference with Site operations.

14. Intellectual Property
All Site content is owned by or licensed to Xirena and protected by intellectual property laws. Unauthorized use is strictly prohibited.

15. User Submissions
Any content you submit grants Xirena a perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, distribute, display, and exploit such content for any lawful purpose without compensation.

16. SMS / Text Messaging
By opting in, you consent to receive automated marketing and transactional SMS messages. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to opt out.

17. Accessibility
We strive to improve accessibility, but do not guarantee uninterrupted or error-free access for all assistive technologies.

18. Disclaimer of Warranties
To the fullest extent permitted by law, the site, products, and services are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

19. Limitation of Liability
To the maximum extent permitted by law, xirena, its affiliates, officers, directors, employees, agents, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages. In no event shall total liability exceed the amount you paid for the product giving rise to the claim.

You agree to defend, indemnify, and hold harmless Xirena and its affiliates, officers, directors, employees, agents, contractors, and service providers from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the Site, violation of these Terms, or infringement of any rights.

22. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

23. Dispute Resolution and Arbitration
Any dispute shall be resolved exclusively through binding arbitration on an individual basis. You waive any right to participate in class actions or jury trials.

24. Severability
If any provision is found unenforceable, the remaining provisions remain in full force.

25. Entire Agreement
These Terms constitute the entire agreement between you and Xirena and supersede all prior agreements.
